Definitions

In these conditions "FXiation Digitals" means FXiation Digitals Pvt Ltd of Navi Mumbai, Maharashtra, India. The "Customer" means the person, firm, company or other body to whom such document is addressed.

Formation Of Contract

All goods, services or facilities are offered and all contracts are entered into subject to the following conditions of business. All other terms, conditions or warranties whatsoever are to the maximum extent permitted by law excluded from the contract unless expressly accepted by FXiation Digitals in writing.

These conditions shall be incorporated into any contract between FXiation Digitals and the Customer to the exclusion of any terms or conditions stipulated or referred to by the Customer.

Prices

All prices quoted are exclusive of applicable sales taxes. FXiation Digitals shall be entitled to make an adjustment to the quoted price in the event of additional costs due to unsuitable materials, incomplete information, alterations by the Customer, or exceptional circumstances outside our control.

Performance And Delivery

Unless otherwise agreed in writing, all times quoted for performance or delivery are given in good faith but are not guaranteed. The time for performance or delivery shall be dependent upon prompt receipt of all necessary information, instructions or approvals from the Customer.

Terms Of Payment

Unless otherwise agreed in writing, all invoices are payable within 30 days. FXiation Digitals reserves the right to require payment by installments during the performance of the contract.

Cancellation

Any contract may only be cancelled or varied with written consent of FXiation Digitals. If cancellation notice is received less than 24 hours prior to the date for performance, FXiation Digitals shall be entitled to charge in full.

No Refund Policy

All transactions for services are final. Upon Customer approval and completion of payment, transactions are not subject to refunds. Approval of work at any stage constitutes acceptance of the services. FXiation Digitals provides revisions within the original scope of the project.

Liability

To the maximum extent permitted by law, FXiation Digitals' entire liability shall be limited to the amount actually paid by the Customer. FXiation Digitals shall not be liable for any consequential loss, loss of business profits, or other pecuniary loss.

Intellectual Property

The Customer shall indemnify FXiation Digitals from all actions and claims arising from any infringement of patent, trademark, copyright, or other exclusive rights in respect of any work carried out for the Customer.

Title And IP Ownership

Title to goods shall only pass to the Customer upon full payment. Upon full payment, FXiation Digitals will assign the entire copyright in the products of its services. FXiation Digitals retains ownership of proprietary software, processes, and technical know-how.

Force Majeure

FXiation Digitals may suspend performance or cancel obligations without liability in the event of circumstances beyond its control including government action, war, industrial dispute, equipment breakdown, accident, or fire.

Legal

This contract shall be governed by the laws of the Indian Judiciary and shall be subject to the exclusive jurisdiction of the courts located in Mumbai, India.
